1. SPONSOR: Nestlé USA, Inc., 1812 N. Moore Street, Arlington, VA 22209.

2. SWEEPSTAKES PERIOD: The SANPELLEGRINO La Dolce Vita Sweepstakes (the “Sweepstakes”) begins on January 4, 2024 at 8:00:00 AM Eastern Time (“ET”) and ends on February 14, 2024 at 11:59:59 PM (ET) (the “Sweepstakes Period”).

3. ELIGIBILITY: The Sweepstakes is open to legal United States residents in the fifty (50) United States and District of Columbia who are eighteen (18) years of age or older at the time of entry (or nineteen (19) if a resident of AL or NE). Employees, officers, and directors of Nestlé USA, Inc. (“Sponsor”), its parent company, or any of their respective affiliates, subsidiaries, advertising and promotion agencies, or any other company or individual involved with the design, production, execution or distribution of the Sweepstakes (collectively, "Sweepstakes Entities"), and each of their respective immediate family members (e.g., spouse, parent, child, sibling, and their respective spouses and the “steps” of each, regardless of where they reside) and persons living in the same household of each, whether or not related, are not eligible to enter or win.

The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Participation constitutes each entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Sweepstakes.

4. HOW TO ENTER: During the Sweepstakes Period, you may enter by going online to www.dolcevita.sanpellegrino.com (“Website”) and following the instructions to provide your first name, last name, zip code and email address, and click “ENTER NOW (“Entry”). Entries must be completed and received by 11:59:59 PM (ET) on February 14, 2024.

Limit one (1) Entry per person/email address during the Sweepstakes Period. No automated entry devices, bots and/or other programs and/or software are permitted for entry. All entries become the sole property of Sponsor and will not be returned. Sponsor is not responsible for lost, late, illegible, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled Entries, or Entries submitted in a manner that is not expressly provided herein, and all such Entries shall be deemed void and ineligible for inclusion in the Sweepstakes. Sweepstakes Entities shall not be responsible for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes; or for problems of any kind, whether mechanical, human or electronic. Sweepstakes Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries. Only fully completed entries are eligible.

Entrants who do not follow all of the instructions herein, do not provide the required information on the entry form, and/or do not abide by these Official Rules or other instructions of Sponsor may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. All potential winning entries are subject to verification by Sponsor or its designee, whose decisions are final and binding. Any entry that occurs after the system has failed for any reason is deemed a defective entry and is void and will not be honored.

Sponsor is not responsible for any change of mailing address, email address and/or telephone number of entrants. In the event of a dispute over the identity of an online entrant in the Sweepstakes, participation will be deemed completed by the authorized account holder of the email address provided at the time of participation. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, wireless carrier, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. The potential winner may be required to provide Sponsor with proof that he/she is the authorized account holder of the email address account associated with the winning entry. If a dispute cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.

5. PRIZE: One (1) Grand Prize consisting of $10,000 (to be awarded in the form of a check to the winner); and a one year’s supply of SANPELLEGRINO® Zero Grams Added Sugar Italian Sparkling Drinks (forty-three (43) coupons each good for one free Sanpellegrino® Zero Grams Added Sugar Italian Sparkling Drinks six-pack of cans (up to $6.99). Approximate Retail Value (“ARV”) of Grand Prize $10,300. Odds of winning depend on total number of eligible entries received. All applicable federal, state and local taxes on prizes are the sole responsibility of the prize winners. Sponsor reserves the right, at its sole discretion, to substitute a prize for one of equal or greater value for any reason. No cash equivalent and prizes are non-transferable, and no substitution will be made except as provided herein at the Sponsor’s sole discretion.

6. DRAWING / WINNER NOTIFICATION: On or about February 15, 2024, Sponsor will randomly select one (1) potential Grand Prize winner from among all eligible Entries received during the Sweepstakes Period. Potential prize winner will be notified by email, using contact information provided or collected at time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within forty-eight (48) hours of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. Unclaimed prize may not be awarded. Sponsor, in its sole discretion, will attempt to contact up to two (2) potential alternate winners in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed. If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the prize for any reason prior to award, such prize will be forfeited and an alternate prize winner may be selected.

Potential winner may be required to sign a winner’s agreement and release (“Winner Release”) and return it by the date specified in Sponsor’s notification, or prize will be forfeited in its entirety and another potential winner may be selected. The potential winner may also be required to execute and return an IRS Form W-9 (and will receive a subsequent 1099 IRS Form for the actual retail value of the prize) along with a Winner Release and any other documentation that Sponsor may require and return it by the date specified by Sponsor in the notification, or prize may be forfeited in its entirety and another potential winner may be selected.

Except where prohibited, potential Grand Prize winner will be required to sign and return an Affidavit of Eligibility, Liability Release and, where legally permitted, Publicity Release ("Affidavit/Release") which must be received by Sponsor’s representatives, within seven (7) calendar days of the date notice or attempted notice is sent, in order to claim a prize. The potential winner will also be required to execute and return an IRS Form W-9 (and will receive a subsequent 1099 IRS Form for the actual retail value of the prize).

Potential Grand Prize winner will not be declared an official winner unless and until all documentation that Sponsor may require is properly executed and returned as directed by Sponsor. If any potential winner is found to be ineligible or if he or she has not complied with these Official Rules or declines the prize in the Sweepstakes, such potential winner will be disqualified and an alternate potential winner may be selected, at Sponsor’s sole discretion. Refusal or return of such documents as non-deliverable or potential winner’s noncompliance with these Official Rules will also result in disqualification and forfeiture of the prize and, at Sponsor’s sole discretion, may cause an alternate potential winner to be selected as noted herein. If a potential winner cannot be contacted, fails to sign and return the Affidavit/Release or provide any other requested information within the required time period, the potential winner forfeits his/her prize and an alternate potential winner may be selected from the remaining eligible Entries, at Sponsor’s sole discretion. All taxes (including, without limitation, state and federal income taxes) and the reporting consequences thereof associated with the use and acceptance of any prize are solely the responsibility of each winner. Grand Prize winner will be issued a W-9 IRS Tax Form with the Affidavit/Release, and a subsequent 1099 IRS Form for the actual retail value of their prize. Within a reasonable time after receipt of each Grand Prize winner’s Affidavit/Release, W-9 IRS Tax Form and/or any other requested information, Sponsor’s representatives will ship the applicable prize to the winner.

7. PUBLICITY GRANT: By submitting an Entry, each entrant agrees to allow use of his or her name, likeness, city and state of residence, and/or biographical information for promotional purposes (including posting on the Website), in any and all media, now or hereafter known, worldwide in perpetuity, without additional compensation or notification to, or permission from, entrant, except where prohibited.

8. ENTRY CONDITIONS AND RELEASE: By entering, each entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor which are binding and final in all matters relating to this Sweepstakes; (b) release and hold harmless the Sweepstakes Entities from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant's entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance or use or misuse of prize and/or the broadcast, exploitation or use of entry; and (c) indemnify, defend and hold harmless the Sweepstakes Entities from and against any and all claims, expenses, and liabilities (including reasonable attorney’s fees) arising out of or relating to an entrant's participation in the Sweepstakes and/or entrant's acceptance, use or misuse of prize

9. PRIVACY: Any information collected during an entrant's participation in this Sweepstakes will be collected by Sponsor in accordance with the terms of Sponsor’s Privacy Notice. Please review Sponsor's Privacy Notice: https://privacy.nestleusa.com/.

10. GENERAL CONDITIONS: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If the Sweepstakes is terminated before the end date and time, Sponsor may (if possible), in its sole and absolute discretion, randomly award all prizes from among all eligible, non-suspect Entries received as of the date and time of the event giving rise to the termination or as otherwise deemed fair and appropriate by the Sponsor. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner and void all associated Entries. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Automated entries are prohibited, and any use of automated devices will cause disqualification. Should multiple users of the same e-mail account enter the Sweepstakes and a dispute thereafter arise regarding the identity of the entrant, the authorized account holder of said e-mail account at the time of entry will be considered the entrant and such individual must comply with these rules. “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address.

11. LIMITATIONS OF LIABILITY: The Sweepstakes Entities as set forth above are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of Entries; or (5) any liability, loss, injury, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt, possession, or use or misuse of any prize.

12. DISPUTES/GOVERNING LAW: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, other than those concerning the administration of the Sweepstakes or the determination of winners or for any disputes arising from the loss or injury from the redemption of a prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of prizes) shall be submitted to final, binding arbitration conducted in Arlington County, VA under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired Virginia state or federal court judge who shall follow Virginia law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in Arlington County, VA including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Sweepstakes Entities shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of Arlington County, VA. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in Arlington County, VA; (iii) any and all claims, judgments, and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the State of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Virginia.
